System and method for facilitating the amending of syndicated loans
Abstract
A system and method are provided for facilitating the amending of syndicated loans. Authorized users are registered in connection with their respective funds invested in the loan. Fund registration data is received for each fund and includes the fund holding amount and whether the fund is of the single or dual signature type. Authorized users may vote supporting, opposing or conditional with regard to the proposed amendment. A calculation is performed to anticipate the voting outcome before the amendment deadline. If the amendment is anticipated to pass, the conditional votes are converted to supporting votes. Typical embodiments provide for an Internet-enabled interface through which authorized users may enter or change their vote while monitoring the real-time status of the amendment. Agents may be automatically provided fund consents for each fund ending up with a supporting vote in a passing amendment. Funds may be automatically notified of the consent fee earned.

51 . A system for facilitating the amending of loan terms, the system comprising:
a processor having access to a vote count data structure; a network interface in communication with the processor; and a memory device in communication with the processor and configured to store instructions, wherein, when the processor executes the instructions, the processor:
receives, via the network interface, a proposed amendment to a term of a loan;
retrieves, from the vote count data structure, a vote count dataset comprising fund holding amounts corresponding to at least one fund for which a fund vote has been logged;
generates a real-time vote tally based on the vote count dataset;
updates the vote count dataset responsive to the fund vote being logged or converted,
executes conditional voting logic comprising calculating a preliminary assessment of an anticipated voting outcome for the proposed amendment, wherein the preliminary assessment is performed responsive to a fund vote being logged, the preliminary assessment is based upon at least a loan amount, a voting threshold, and the fund holding amounts corresponding to logged fund votes, and the preliminary assessment results in an indication as to whether the proposed amendment is likely to pass; and
communicates, via the network interface, the indication to at least to an internet-enabled interface accessible by at least one of a user, agent, and borrower.

The system of claim 51 , wherein the conditional voting logic further comprises calculating whether the fund holding amounts that correspond to a plurality of logged opposing fund votes and a plurality of logged conditional fund votes totals less than the loan amount minus the voting threshold.
53 . The system of claim 51 , wherein the processor further executes the instructions to generate, if the fund vote logged is a conditional “Yes if passing” vote, a user agreement, wherein the user agreement includes a binding requirement to submit votes through the system.
54 . The system of claim 51 , further comprising:
an integrated communication module configured to facilitate individual or group communications using at least one of: message boards, chat functions, document postings or an automatically generated contact list.
55 . The system of claim 54 , wherein the processor further executes the instructions to:
determine whether a user is allowed to receive material non-public information; and filter all documents and postings containing material non-public information.
56 . The system of claim 51 wherein the processor further executes the instructions to compute a potential consent fee for each fund, wherein the potential consent fee is an amount payable to the respective fund if the respective fund is associated with a logged supporting fund vote and the proposed amendment is ultimately approved.
57 . The system of claim 51 , wherein the processor further executes the instructions to verify a personal identification number received from at least an authorized user prior to recording a user vote with regard to the at least one fund.
58 . A computer-implemented method of facilitating the amending of loan terms, comprising:
identifying, by a processor having access to a vote count data structure, a proposed amendment to a term of a loan; retrieving, by the processor, from the vote count data structure, a vote count dataset comprising fund holding amounts corresponding to at least one fund for which a fund vote has been logged; generating a real-time vote tally based on the vote count dataset; updating, by the processor, the vote count dataset responsive to the fund vote being logged or converted; and executing conditional voting logic comprising calculating, by the processor, a preliminarily assessment of an anticipated voting outcome for the proposed amendment, wherein the preliminary assessment is performed responsive to a fund vote being logged, the preliminary assessment is based upon at least a loan amount, a voting threshold, and the fund holding amounts corresponding to logged fund votes, and the preliminary assessment results in an indication as to whether the proposed amendment is likely to pass; and communicating, via a network interface, the indication to at least to an internet-enabled interface accessible by at least one of a user, agent, and borrower.

The method of claim 58 , wherein executing conditional voting logic further comprises calculating whether the fund holding amounts that correspond to a plurality of logged opposing fund votes and a plurality of logged conditional fund votes totals less than the loan amount minus the voting threshold.
60 . The method of claim 58 , further comprising generating, by the processor, if the fund vote logged is a conditional “Yes if passing” vote, a user agreement, wherein the user agreement includes a binding requirement to submit votes through the system.
61 . The method of claim 58 , further comprising facilitating, by the processor, individual or group communications using at least one of: message boards, chat functions, document postings or an automatically generated contact list.
62 . The method of claim 61 , further comprising:
determining, by the processor, whether a user is allowed to receive material non-public information; and filtering, by the processor, documents and postings containing material non-public information.

The method of claim 58 , further comprising computing, by the processor, a potential consent fee for each fund, wherein the potential consent fee is an amount payable to the respective fund if the respective fund is associated with a logged supporting fund vote and the proposed amendment is ultimately approved.
64 . The method of claim 58 , further comprising verifying a personal identification number received from at least an authorized user prior to recording a user vote with regard to the at least one fund.
65 . A computer-implemented method of facilitating the amending of loan terms comprising:
receiving, via an internet-enabled interface, real-time vote data relating to a proposed amendment to a term of a loan, the real-time vote data comprising a dashboard dataset and a vote count dataset; displaying on a graphical user interface a real-time vote count transparency dashboard comprising:
a voting indication based on a vote count of a plurality of registered lenders, the voting indication indicating a likelihood the amendment will pass;
a visual representation of at least one element of the dashboard dataset selected from among an amount of the loan, a voting threshold, and an unregistered amount; and
a visual representation of at least one element of the vote count dataset selected from among a total fund holdings logged undecided, a total fund holdings logged supporting; a total fund holdings logged opposing; and a total fund holdings logged conditional; and
